Important Notice
Legal Reforms in the British Virgin Islands (BVI)
Effective Date: April 2026
Dear Clients,
We wish to inform you that the government of the British Virgin Islands has approved substantial amendments to its regulations concerning beneficial ownership. These new provisions — set to take effect in April 2026 — represent a significant shift in the confidentiality framework that has traditionally defined this jurisdiction.
What is changing?
The new rules broaden access to beneficial ownership information of entities registered in the BVI, allowing such information to be requested by:
- Competent authorities and regulatory bodies,
- Parties covered under BVI–United Kingdom bilateral agreements,
- Individuals demonstrating a “legitimate interest” (such as those involved in money laundering or counter-terrorism investigations).
In addition, the reform establishes specific requirements for submitting such requests, as well as a notification and objection procedure that the affected entity may initiate.
Are there any exemptions?
Yes. Beneficial owners may request non-disclosure of their information under certain grounds, including:
- Serious risk of violence, fraud, or kidnapping,
- Minority or legal incapacity,
- Risks to national security or public interest.
Exemptions from reporting have also been expanded for certain entities, such as subsidiaries of regulated funds, publicly listed companies on recognized exchanges, and government-owned entities.
What do we recommend?
We urge all clients with BVI structures to:
- Review the composition and documentation of their entities,
- Evaluate potential eligibility for exemptions,
- Prepare for these regulatory changes and strengthen compliance well ahead of the effective date.
Our team is available to assess your specific situation and assist with any review, documentation, or restructuring processes that may be required.
